Please read these Aquarium Terms of Use (the “Aquarium Terms”) carefully, because they are a legal agreement between you (“you”, “your”) and Zoo Corporation (“Zoo”), governing your access to and use of the public forum which allows users like you to showcase, share, upload and view user-created CAD designs and models (“Models”) created using the Zoo Design Studio tool (the foregoing public forum, together with any related services offered by Zoo, the “Aquarium”).
The Aquarium is accessible via the website located at https://www.zoo.dev/aquarium or from within Zoo’s other products or services. To make these Aquarium Terms easier to read, any and all information and content you submit to the Aquarium, including, without limitation, Models and other content in your profile or postings, is referred to as “Content.”
Your access to and use of the Aquarium is governed by: (i) these Aquarium Terms; (ii) the Zoo Terms of Use (located at https://zoo.dev/terms-and-conditions) (the “General Terms”); and (iii) the Privacy Policy (located at https://zoo.dev/privacy-policy) (the “Privacy Policy”). The Aquarium Terms are executed under, and by this reference incorporated into and form a part of, the General Terms. Any capitalized words used in these Aquarium Terms but not defined herein will have the meaning provided in the General Terms. If there is a conflict between these Aquarium Terms and the General Terms, these Aquarium Terms will control solely with respect to your use of the Aquarium.
NOTE REGARDING YOUR MODELS: BY UPLOADING MODELS TO THE AQUARIUM, YOU ARE AUTHORIZING ZOO AND ALL OTHER USERS OF THE AQUARIUM, SUBJECT TO THESE AQUARIUM TERMS (INCLUDING, WITHOUT LIMITATION, THE USE RESTRICTIONS IN SECTION 5), TO COPY, DISTRIBUTE, DOWNLOAD, MAKE DERIVATIVE WORKS OF, DISPLAY, COMMERCIALIZE, AND OTHERWISE USE YOUR MODELS, AS DESCRIBED IN THESE AQUARIUM TERMS.
1. Agreement to Aquarium Terms.
By using the Aquarium, you agree to be bound by these Aquarium Terms. If you don’t agree to be bound by these Aquarium Terms, do not use the Aquarium. If you are accessing and using the Aquarium on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that entity to these Aquarium Terms. In that case, “you” and “your” will refer to that entity.
2. Changes to these Aquarium Terms or the Aquarium.
We may update the Aquarium Terms from time to time in our sole discretion. If we do, we’ll let you know by posting the updated Aquarium Terms on the Aquarium site, to the App and/or may also send other communications. It is important that you review the Aquarium Terms whenever we update them or you use the Aquarium. If you continue to use the Aquarium after we have posted updated Aquarium Terms it means that you accept and agree to the changes. If you do not agree to be bound by the changes, you may not use the Aquarium anymore. Because the Aquarium is evolving over time we may change or discontinue all or any part of the Aquarium, at any time and without notice, at our sole discretion.
3. Who May Use the Aquarium?
While some aspects of the Aquarium are provided to all users, for other aspects, such as the ability to create an account, you must be at least 13 years of age. For certain features of the Aquarium you’ll need an account. It’s important that you provide us with accurate, complete and current account information and keep this information up to date. If you don’t, we might have to suspend or terminate your account. To protect your account, keep the account details and password confidential, and notify us right away of any unauthorized use. You are responsible for all activities that occur under your account.
4. Your Models and Content.
(a) Publishing Models and Content. Subject to these Aquarium Terms (including, without limitation, the Use Restrictions in Section 5) the Aquarium allows you to upload and share Models to the Aquarium for public viewing, download, distribution, reuse and publishing by other Aquarium users and by Zoo. Zoo does not claim any ownership rights in your Models and nothing in these Aquarium Terms will be deemed to restrict any rights that you may have to your Models.
(b) Permission to Use Your Models and Content. By publishing any Models or Content to the Aquarium, you hereby grant, to both all other Aquarium users and to Zoo, an irrevocable, non-exclusive, perpetual, transferable, worldwide, royalty-free license, with the right to sublicense to use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform, and commercialize your Models and Content.
(c) License to You to Use the Models of Other Users. Subject to these Aquarium Terms (including, without limitation, the Use Restrictions in Section 5), Zoo hereby grants you a limited, revocable, non-transferable, with no-right to sublicense, right and license to (i) access and use the Aquarium; and (ii) download, copy, distribute, reproduce, create derivative works of, publicly perform, and publicly display Model(s) which other users have made available in the Aquarium. In connection with your use of other users’ Models under this Section 4(c), you hereby agree to make commercially reasonable efforts to attribute your use of such Models to the original creator in a manner that respects the Aquarium’s community of original creators.
(d) Your Responsibility for Your Content. You are solely responsible for your Content. You represent and warrant that you have (and will have) all rights that are necessary to grant us the license rights in your Content under these Aquarium Terms. By agreeing to these Aquarium Terms, you hereby represent and warrant that you have (and will have) all rights that are necessary to grant Zoo the license rights in your Content under these Aquarium Terms. You represent that your use of the Content, and Zoo’s use of your Content on or through the Aquarium, will not infringe, misappropriate or violate a third party’s intellectual property rights, rights of publicity, privacy, or any other third party right, result in the violation of any applicable law or regulation, or violate any contract or agreement between you and any third party.
(e) Removal of Your Content. You can remove your Content by specifically deleting it. However, other Aquarium users who have already accessed or downloaded your Content (including any Model(s)) may retain access to it even after you delete it from the Aquarium, and will be under no obligation to remove, destroy, or alter any work(s) they have created using your Content or Model(s). You should also know that in certain instances, some of your Content may not be completely removed and copies of your Content may continue to exist on the Aquarium. To the maximum extent permitted by law, we are not responsible or liable for the removal or deletion of (or the failure to remove or delete) any of your Content.
(f) Zoo’s Intellectual Property. We may make available through the Aquarium content that is subject to intellectual property rights. We retain all rights to that content.
(g) Reservation of Rights. Zoo and its licensors exclusively own all right, title and interest in and to the Aquarium, including all associated intellectual property rights. You acknowledge that the Aquarium is protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Aquarium.
(h) Feedback. We appreciate feedback, comments, ideas, proposals and suggestions for improvements to the Aquarium (“Feedback”). If you choose to submit Feedback, you agree that we are free to use it without any restriction or compensation to you.
5. Use Restrictions and Zoo’s Enforcement Rights.
In connection with your access to and use the Aquarium, you agree not to, and will not permit any third party to:
(a) Use the Aquarium in any manner beyond the scope of rights expressly granted in these Aquarium Terms;
(b) Post, upload, publish, submit or transmit any Content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; (vii) promotes illegal or harmful activities or substances;
(c) Use the Aquarium any other user’s Content to develop, commercialize, or operate any platform, service, or technology that competes with Zoo or the Aquarium, or for benchmarking or competitive analysis with respect to competitive or related products or services;
(d) Use the Aquarium or any other user’s Content to train artificial intelligence models, machine learning models, or for any form of automated data extraction or “model scraping”;
(e) Fail to make commercially reasonable efforts to attribute other users’ Content to the original creator when using such Content in a manner that respects the Aquarium’s community of original creators;
(f) Use, display, mirror or frame the Aquarium or any individual element within the Aquarium, Zoo’s name, any Zoo trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Zoo’s express written consent;
(g) Access, tamper with, or use non-public areas of the Aquarium, Zoo’s computer systems, or the technical delivery systems of Zoo’s providers;
(h) Attempt to probe, scan or test the vulnerability of any Zoo system or network or breach any security or authentication measures;
(i) Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Zoo or any of Zoo’s providers or any other third party (including another user) to protect the Aquarium;
(j) Attempt to access or search the Aquarium or download content from the Aquarium using any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Zoo or other generally available third-party web browsers;
(k) Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
(l) Use any meta tags or other hidden text or metadata utilizing a Zoo trademark, logo URL or product name without Zoo’s express written consent;
(m) Use the Aquarium, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Aquarium Terms;
(n) Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Aquarium;
(o) Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail- bombing the Aquarium;
(p) Impersonate or misrepresent your affiliation with any person or entity; or
(q) Violate any applicable law or regulation.
Zoo is not obligated to monitor access to or use of the Aquarium or to review or edit any Content. However, we have the right to do so for the purpose of operating the Aquarium, to ensure compliance with these Aquarium Terms and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any content, including Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider it objectionable or in violation of these Aquarium Terms. We have the right to investigate violations of these Aquarium Terms or conduct that affects the Aquarium. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.
6. DMCA/Copyright Policy.
Zoo respects copyright law and expects its users to do the same. It is Zoo’s policy to terminate in appropriate circumstances account holders who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders. 7. Termination.
We may suspend or terminate your access to and use of the Aquarium, including suspending access to or terminating your account, at our sole discretion, at any time and without notice to you. You may cancel your account at any time by sending us an email at support@zoo.dev. Upon any termination, discontinuation or cancellation of the Aquarium or your account, the following Sections will survive: 1 , 2 , 4, 5, and 7 - 10.
8. Warranty Disclaimers.
THE AQUARIUM IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE MAKE
NO WARRANTY THAT THE AQUARIUM WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OR CONTENT ON THE AQUARIUM.
9. Indemnity.
You will indemnify and hold Zoo and its officers, directors, employees and agents, harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of the Aquarium, (b) your Content, including without limitation all claims that you Content misappropriates, violates or infringes any third-party intellectual property right, right of publicity, privacy, or violates any applicable law or regulation, and (c) your violation of these Aquarium Terms.
10. Limitation of Liability.
(a) TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ZOO NOR ITS SERVICE PROVIDERS INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE AQUARIUM WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE AQUARIUM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ZOO OR ITS SERVICE PROVIDERS HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
(b) TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZOO’S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM ALL CLAIMS UNDER OR RELATED TO THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE AQUARIUM EXCEED THE AMOUNTS ACTUAL PAID BY YOU OR ARE PAYABLE BY YOU TO ZOO FOR USE OF THE AQUARIUM, PROVIDED THAT IN NO EVENT WILL ZOO’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS MADE UNDER OR RELATED TO THIS AGREEMENT EXCEED ONE HUNDRED DOLLARS $100.00.
(c) THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ZOO AND YOU.
